What’s a registered agent (RA) & why it is key to have one, other than you, the business owner?

Entrepreneurs, such as yourself, receive important legal documents, via mail and may get served court documents in person. An RA receives those for you (and, in most states, you’re required to have one). Some Benefits:

 

 

Reduces fines: Having an RA helps to ensure that you’ll receive important filing notifications from, helping you stay in good standing at most government levels (State) so you don’t get hit with penalties.

Allows more freedom:  If you serve as your own RA, you’ll need to be available to receive things by mail or in person during normal business hours. An external RA, does this for you.

Additional Privacy: Public records show the RA address. If your business is named in a lawsuit, and the other party serves the RA, it could potentially prevent you from receiving court documents in front of others.

  • State tax notifications
  • Secretary of State notifications
  • Annual report notices
  • Official state correspondence
  • “Most” Junk mail

Why does a business need a registered agent?

In most states, a registered agent must be named in the document forming a corporation or LLC. A registered agent is authorized to receive service of process in the event of a lawsuit and other important documents on behalf of the business.

Can a Business Owner change the registered agent?

Affordable Care Act: What Employers with Fewer than 50 Employees Need to Know

As an employer, the number of employees you have during the last calendar year determines which parts of the health care law apply to your organization. If you are an employer with fewer than 50 full-time employees, including full-time equivalent employees, here are three things to know about how the health care law affects you.

Information Reporting

If you offer employer-sponsored self-insured health coverage to your employees, you will use Form 1095-B, Health Coverage Information Return to report information to covered individuals about each person enrolled in coverage. The deadline for filing this form with the IRS is February 28, 2017, or March 31, 2017 if filing electronically. The deadline for furnishing this form to the covered individual is March 2, 2017, which is a 30-day extension from the original due date of January 31.

Tax Credit: You may be eligible for the small business health care tax credit if you meet all of the following conditions. You:

o             cover at least 50 percent of employees’ premium costs
o             have fewer than 25 full-time equivalent employees
o             pay average annual wages per full-time equivalent employee of less than $52,000 in tax year 2016
o             purchase coverage through the SHOP Marketplace
